Copying License Agreement

By purchasing musical materials (“Materials”) through the NewMusicShelf website, you are agreeing to be bound by the terms and conditions of this Agreement.
License
NewMusicShelf, Inc., on behalf of the composer/copyright holder of the Materials, grants you a revocable, non-exclusive, non-transferable, limited license to download, print and use the Materials strictly in accordance with the terms of this Agreement.
Restrictions
Ownership/copyright of the music itself is not transferred to you.
This license extends only to you and/or your performing ensemble, and is non-transferrable.
You are licensed to use the materials digitally, or to make the number of print copies specified at checkout and marked in your receipt.
In the case of Materials that include individual parts, you are licensed to make sufficient copies of the Materials to prepare and perform the music.
In the event that your printed materials are lost, damaged or destroyed, you are authorized to make replacement copies without making an additional purchase.
You agree not to, and you will not permit others to license, sell, rent, lease, assign, distribute, transmit, host, forward via email, or give away the Materials, or make additional copies of the Materials beyond what is specified in this Agreement.
Choral Music: One copying license must be in effect for each performer, including accompanists and conductors. In the event that additional members are added to your choir, you will need to purchase additional copies of the Materials so that there is one copying license in effect for each new performer.
Vocal Music: For works in which all performers read from identical Materials, and no individual parts are provided, one copying license must be purchased for each performer. For works with provided parts, one copying license is sufficient for all performers in the ensemble.
Solo, Chamber, Large Ensemble Music: One copying license is sufficient for all performers in the ensemble.
Opera: One copying license is sufficient to cover the conductor and all instrumental performers. For piano/vocal reductions, one copying license must be purchased for each vocalist and accompanist. Performance/Grand Rights must be negotiated with the composer/copyright holder or their authorized representatives.
This license does not serve as a license to perform or record the music. Such license(s) must be obtained through the composer/copyright holder or their Performing Rights Organization. All additional rights must be negotiated directly with the composer/copyright holder.
Term and Termination
This Agreement shall remain in effect until terminated by you or NewMusicShelf, Inc..
NewMusicShelf, Inc. may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from NewMusicShelf, Inc., in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Materials and all copies thereof from your computers, devices, and cloud storage accounts, and destroying all printed copies of the Materials.
Upon termination of this Agreement, you shall cease all use of the Materials and delete all copies of the Materials from your computers, devices, and cloud storage accounts, and destroy all printed versions of the Materials.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Amendments to this Agreement
NewMusicShelf, Inc. reserves the right, at its sole discretion, to modify or replace this Agreement at any time.
Venue
This agreement shall be deemed executed under the laws of the state of New York, and governed by the copyright laws of the United States of America, whether the music is supplied and/or used in the USA and/or in any part of the world.
